2. Acceptance of Terms:

2.1 By creating an account, accessing our Platform, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy.

2.2 These Terms constitute a legally binding agreement between you and ComplyTax.

2.3 If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must select the appropriate service package based on your requirements.

Professional fees are disclosed upfront before service confirmation.

Additional charges may apply for services beyond the agreed scope.

We provide professional services but do not guarantee specific outcomes.

Tax liabilities and refunds depend on applicable laws and your financial situation.

We are not responsible for delays caused by government portals or third-party systems.

Services are subject to availability of our professionals and government processing times.

5. User Obligations and Responsibilities:

5.1 Information Accuracy:

You must provide complete, accurate, and truthful information.

You are responsible for the accuracy of all documents and data submitted.

You must promptly update us of any changes to your information.

Providing false or misleading information may result in service termination and legal consequences.

5.2 Document Submission:

You must submit all required documents within specified timelines.

Documents must be clear, legible, and in acceptable formats.

You are responsible for maintaining original copies of all documents.

Delays in document submission may affect service delivery timelines.

5.3 Compliance:

You must comply with all applicable tax laws and regulations.

You must respond promptly to queries from tax authorities.

You are ultimately responsible for your tax obligations and liabilities.

You must not use our Services for any illegal or fraudulent purposes.

5.4 Communication:

You must maintain active and accessible contact information.

You agree to respond to our communications on time.

You authorize us to communicate via email, phone, SMS, and other channels.

Important notices may be sent to your registered email address.

6. Professional Fees and Payment Terms:

You retain ownership of content you submit to our Platform.

By submitting content, you grant us a worldwide, royalty-free license to use, store, and process it for service delivery.

You represent that you have all necessary rights to the content you submit.

We may remove any content that violates these Terms or applicable laws.

“Comply Tax” and related marks are our registered/appliedbtrademarks.

You may not use our trademarks without prior written permission.

Unauthorized use of our trademarks may result in legal action.

8. Confidentiality and Data Protection:

You agree to provide necessary credentials, OTPs, and authorizations when required.

We will access portals solely for providing agreed services.

You may revoke this authorization at any time by written notice.

9.2 E-filing and Digital Signatures:

You authorize us to e-file returns and documents using your credentials.

You understand that e-filed documents have legal validity.

You are responsible for verifying all filings before submission.

We will provide copies of all filed documents for your records.

9.3 Representation:

By engaging our services, you appoint us as your authorized representative for specified matters.

This representation is limited to the scope of services agreed upon.

You may revoke this representation with written notice.

We may decline representation if there is a conflict of interest.

10. Service Delivery and Timelines:

10.1 Processing Time:

Service timelines are estimates and depend on various factors including document submission, government processing, and complexity.

We will make reasonable efforts to meet stated timelines.

Delays caused by incomplete information, government portals, or force majeure events are beyond our control.

We will keep you informed of any significant delays.

10.2 Dependencies:

Timely service delivery depends on your cooperation and timely document submission.

Government portal downtime or technical issues may cause delays.

Third-party service delays are beyond our control.

We are not liable for penalties or interest arising from such delays.

Inaccurate or misleading information provided by you;

Your infringement of any third-party rights;

Any dispute between you and other users or third parties.

12.2 We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

We do not warrant that services will be uninterrupted, error-free, or secure.

We do not guarantee specific tax outcomes or refund amounts.

Using our Platform does not create a professional relationship until you formally engage our services.

General information on our Platform is for informational purposes only.

14. Prohibited Activities:

14.10 Impersonate any person or entity or misrepresent your affiliation.

Violation of these prohibitions may result in immediate account termination and legal action.

15. Dispute Resolution and Governing Law:

15.1 Governing Law

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts in our jurisdiction.

15.2 Amicable Resolution:

In the event of any dispute, both parties agree to first attempt amicable resolution through good faith negotiations.

Either party may initiate this process by providing written notice to the other.

15.3 Arbitration:

If disputes cannot be resolved amicably within 30 days, they shall be referred to arbitration.

Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties.

The language of arbitration shall be English

The arbitrator's decision shall be final and binding on both parties.

Either party may seek injunctive or equitable relief in court for urgent matters.

Claims related to intellectual property rights may be brought directly in court.

16. Force Majeure:

16.1 We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including:

Acts of God (earthquakes, floods, storms).

Government actions, regulations, or restrictions.

Wars, terrorism, civil unrest, or strikes.

Epidemics, pandemics, or public health emergencies.

Internet or telecommunications failures.

Power outages or utility failures.

Government portal downtime or technical issues.

16.2 During force majeure events, our performance obligations will be suspended, & timelines will be extended accordingly.

16.3 We will make reasonable efforts to notify you of force majeure events and resume services as soon as practicable.

17. Amendments and Modifications:

17.1 We reserve the right to modify these Terms at any time at our sole discretion.

17.2 Material changes will be notified through:

Email to your registered email address;

Prominent notice on our Platform;

In-app notifications.

17.3 Continued use of our Services after changes constitutes acceptance of modified Terms.

17.4 If you do not agree to the modified Terms, you must discontinue use of our Services.

21.1 These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Comply Tax regarding the use of our Platform and Services.

21.2 These Terms supersede all prior or contemporaneous communications, proposals, and agreements between you and us.

21.3 Any terms in purchase orders or other documents provided by you are expressly rejected.

24.2 You are an independent user of our Services and have no authority to bind us to any obligation.

24.3 Our professionals provide services as independent contractors under our coordination.

25. Feedback and Suggestions:

25.1 We welcome your feedback and suggestions about our Platform and Services.

25.2 Any feedback you provide becomes our property, and we may use it without restriction or compensation to you.

26. Third-Party Beneficiaries:
